Did something really bad go through the gas and kill the bike?  Like water?  Maybe the CEL was from the O2 sensor getting fouled.

If possible consult your owner's manual.

It will identify why certain warning lights are lit up.

Also has some trouble shooting advice.

May be this thread should be moved to " TECH. "

Update: jump the bike with a car, it started! Left it to charge for about 5 min. Rode off, about 1/4 mile check engine came on and bike started to putter and died. Had a friend followed me and we jumped it again, and again it died again after a short trip. Could it be the alternator? Fino, I moved the bike and now its on River St. And rt 28 south. Oil is between the min, max line, just bit on the dark side. I will get a new battery soon. I am afraid that it might be something else. Ideas?

Sounds like the regulator/rectifier.
Have a look at the wires coming out it ...... do they look burnt?
If not check connections in electrical system ..... al connected and clean?
Check the side stand cut out switch ..... anything loose or broken?

Sounds like you are not charging or undercharging.  If you put a volt meter across the battery you should read 13.5 - 14.5 volts.  Less means you have a problem.  First check the 30 amp fuse near the fuse box under the seat.  Then locate the three heavy yellow wires coming from your stator through the alternator cover.  Follow them up and you will come to a connector.  This is where the stator connects to the regulator.  Make sure the connection is clean and tight with no signs of overheating.

If all is good so far you need to do more diagnosis.  To save work here is a great link:

Great feedback,
I think I believe its the Regulator, good stuff, Thanks.  I'm at work right now, and debating to buy a new battery or not. I know I might need to buy a new regulator, all issues points there, but I just want to get the bike home.  My battery is on a tender since last night, and would this be enough charge to ride my baby home, 3.6 miles.  I unplugged the headlight to conserve battery life.  I will check the wires for burn scars and check the fuse as well when see my Baby after work.

thanks guys, the charged battery got the bike home. Now that the bike is home, I can take my time to either replace the regulator or the battery.   chug

It should be easy to see if the battery is being charged by observing the headlight: let the bike idle and then rev it up to about 3k the lights should get brighter (and then gradually dim down again).

A tester is more accurate, but this is a simple way to check and something anyone can do to avoid ending up stranded on the side of the road.

How about the ECU ground wire?  If that is loose, the bike will sputter and die.

I think it's on the right side, under the ECU bolted to the battery tray.
